Merger, Acquisition and Divestiture Practice

KSMTA believes most middle market full-truckload Company owners are either “buyers” or “sellers”. This simply means the commodity nature of most truckload hauling demands size to successfully compete long-term. Therefore, owners must be actively engaged in the process of institutionalizing their business (buyers) or planning an exit strategy (sellers).

The goal of KSMTA’s M&A practice is to assist our clients first with the identification of their buyer/seller profile, then with the development of a supportive strategy and finally with execution of that strategy. Generally, this means that we serve as an intermediary for a transaction. By definition, the primary function of an M&A intermediary, whether it is a large investment banking firm or a one-person operation, is to identify and qualify buyers and sellers, and ultimately bring them together in a successful transaction. Fundamentally there are four stages to any KSMTA managed transaction:

  1. Determination of owner and business readiness
  2. Identification of candidates
  3. Consummation of transaction
  4. Transition to new ownership

Our Qualifications:

  1. Successful representation of numerous trucking buyers & sellers
  2. Personal ownership of several trucking companies
  3. AICPA certification in business valuation
  4. Senior executive financial management experience with the industries largest most successful carriers
  5. Proprietary financial models and owner contact data bases
  6. Knowledge of and access to industry capital providers

Our M & A services include:

    For Sellers:
  1. Determining fair market and investment business values
  2. Developing effective sales material and offering memorandums
  3. Identifying, contacting and managing communications with qualified buyers
  4. Facilitating solutions to address family, buyer and seller differences
  5. Managing negotiations and due diligence requests
  6. Evaluating offers and helping legal counsel develop appropriate purchase documents
    For Buyers:
  1. Identifying, evaluating and screening potential targets
  2. Financial modeling of potential acquisitions
  3. Assistance with capital restructuring to allow acquisitions
  4. Contacting sellers and preparing offering memorandums
  5. Conducting negotiations and managing transactions through closing
  6. Managing the due diligence investigation
  7. Working with legal counsel to develop the purchase documents
